1. Introduction
These Terms & Conditions apply to all orders placed through this website and govern the relationship between you (the “Customer”) and Laroto Merch Lab, located at Slachthuislaan 10, Leuven, Belgium, VAT number [VAT Number] (the “Seller”).
By placing an order, you agree to these Terms and Conditions.
2. Products and Services
The Seller produces and supplies embroidered clothing and related customized goods.
All items are made to order unless stated otherwise.
Due to the nature of embroidery, slight variations in thread color, placement or density may occur. These do not constitute defects.
3. Ordering Process
Orders become binding once payment has been received and the Seller confirms the order.
Custom work may require a design approval stage. Once the Customer approves the proof, production will begin. Changes requested after approval may incur extra costs or delays.
Quotes for custom orders are valid for 14 days, unless specified otherwise.
4. Pricing and Payment
All prices shown include VAT, unless noted otherwise.
The Customer must pay for the order in full before production begins.
Accepted payment methods are those listed at checkout.
5. Production Times
Standard production time is 1–7 business days, depending on workload, complexity and quantity.
Large or complex orders may require additional time. The Customer will be informed before production begins.
The production times indicated are estimates based on normal workload and material availability. They are not guaranteed.
Unexpected delays may occur due to supply shortages, machine maintenance, technical issues, carrier delays, or a high volume of orders.
If a significant delay is expected, the Seller will inform the Customer as soon as reasonably possible.
The Seller shall not be held liable for delays that are outside its reasonable control.
6. Delivery
Orders are shipped from Belgium using the carriers offered on the quote.
Delivery times are estimates provided by the carrier and are outside the Seller’s control.
The Customer is responsible for providing accurate delivery information.
7. Returns and Cancellations
7.1 Custom-made items
Custom-made products are excluded from the EU right of withdrawal.
Returns are only accepted if:
- The item arrives damaged,
- The item contains a clear production error compared to the approved design,
- The incorrect item was delivered.
The Customer must notify the Seller within 7 days of delivery, with supporting photos.
7.2 Non-custom items
If non-custom products are offered, the Customer may exercise the EU 14-day withdrawal right.
Returned items must be unused and in original condition.
8. Intellectual Property
8.1. Customer-Provided Artwork
The Customer is responsible for ensuring that any artwork, logos, text or design files supplied to Laroto Merch Lab do not infringe any copyright, trademark or other intellectual property rights.
The Customer retains full ownership of their original artwork.
By submitting artwork, the Customer grants the Seller a non-exclusive, royalty-free license to use, reproduce and modify the artwork solely for the purpose of producing the ordered items.
8.2. Design Adjustments and Preparation for Embroidery
If the Seller provides design adjustments, clean-up, redrawing, vectorisation or other preparation work based on artwork supplied by the Customer, the Customer remains the owner of the final design.
Editable design files (such as .AI, .SVG, .PDF) are not included with the order unless expressly purchased.
A separate fee may apply for providing such source files.
8.3. Original Designs Created by the Seller
If the Seller creates an original design or artwork from scratch, including logo concepts, illustrations or custom graphics, the Seller retains full copyright to the artwork.
The Customer receives a non-exclusive license to use the design solely for:
- the products purchased from the Seller, and
- any personal or internal business use (e.g., marketing photos of the embroidered items).
If the Customer requires full ownership of the artwork or wishes to use it for broader commercial purposes, a separate copyright transfer fee will apply. Transfer of ownership must be agreed in writing.
Editable source files (e.g., .AI, .SVG) for original designs are only provided if purchased separately or if included in a specific design package.
8.4. Embroidery Digitizing Files
Machine embroidery files (.DST, .EXP, .EMB, or similar formats) created by the Seller for production purposes remain the property of the Seller.
These files are not provided as part of any order unless purchased separately.
Digitizing files are considered production assets, not design deliverables.
8.5. Seller’s Materials and Website Content
All photos, mock ups, templates, product descriptions, texts and other content created by the Seller for this website remain the exclusive property of the Seller and may not be copied, reproduced or redistributed without permission.
The Customer remains responsible for ensuring they have the rights to any artwork or design submitted.
By sending artwork, the Customer confirms they hold the required permissions.
Embroidery files (e.g., .DST, .EXP, .EMB) created during production are not included with the order unless purchased separately.
8.6 Use of Product Images for Marketing
Unless the Customer expressly requests otherwise in writing before the order is completed, the Seller may photograph and display images of the finished products (excluding any personal or identifying information) for portfolio, marketing and promotional purposes, including on the Seller’s website and social media channels.
The Seller will not publish any images that reveal the Customer’s identity or confidential information.
9. Liability
The Seller is not liable for:
- Delays caused by shipping carriers,
- Normal wear and tear of garments,
- Color differences due to screen variation or thread availability,
- Losses caused by the Customer providing incorrect information.
Liability is limited to the value of the order.
10. Governing Law
These Terms and Conditions are governed by Belgian law.
Any dispute shall be handled by the competent courts in Belgium.
11. Changes to Terms
The Seller may update these Terms & Conditions at any time.
The version applicable to the order is the one in force at the time the order is placed.
